FTV Capital acquires marine AI company Windward

Stock investment company FTV Capital has announced the completion of its acquisition of marine AI company Windward.

The acquisition is issued in Windward’s total, and it values ​​the unissued regular share capital to be a fully diluted £226 million ($280 million).

Last December, the boards of Windward and Toctopus UK Bidco, subsidiaries of FTV VIII and its affiliates, agreed on the terms and conditions for the issue of Windward and the regular share capital issued by BIDCO.

The deal could turn winds towards private US companies and encourage expansion within the government and commercial sectors.

Brad Bernstein, Jerome Hershey and Giovanni Bacarella, vice president of FTV Capital, have joined Windward’s board of directors as part of the deal.

FTV Capital Principal Jerome Hershey said:

“We believe Windward could deepen its customer base both in the government and commercial sectors, and are excited to partner with AMI and Windward Management teams to drive an ambitious vision for product innovation and international growth.”

Windward’s AI-powered platform provides predictive insights into operations, risk and compliance, supporting real-time decision-making.

Powered by AI and Generated AI, the platform offers comprehensive maritime insights.

The platform will help strengthen business and operational readiness for a diverse customer base, including energy, shipping, and government agencies.

The company’s customers include energy supermagers, shipowners, mining companies and financial institutions.

Last month, Windward launched Critical Maritime Infrastructure Protection, an AI-driven solution designed to protect critical maritime assets such as cables, pipelines and rigs.

The solution combines Windward’s cable layer and user data with AI-based behavioral pattern detection to enable organizations to identify and address potential threats.
